Seattle Lutheran High School Booster Club By-Laws

ARTICLE I. NAME

The name of this club shall be known as “Saints Booster Club,” located at 4141 41st Ave SW., Seattle, WA 98116

ARTICLE II. PURPOSE

The purpose of this organization shall be for the enhancement of the athletic programs of Seattle Lutheran High School (SLHS).

ARTICLE III. MEMBERSHIP

Membership in the Saints Booster Club shall be open to any parent, guardian or other person interested in the betterment of the athletic programs at SLHS.

ARTICLE IV. DUES

The annual membership dues shall be determined by the Board at the beginning of each school year. The term of membership shall be for thirteen months, from July 1 through July 31 of the following year.

ARTICLE V. OFFICERS OF BOARD OF DIRECTORS

Officers of the Board of Directors of the Saints Booster Club shall consist of a President, Vice President, Secretary, Treasurer, Elected Class Representatives, and the Athletic Director. It is recommended the incoming and outgoing Boards meet with the Principal, Operations Director, and Executive Director/Head of School prior to the old board members leaving office.

ARTICLE VI. APPOINTMENTS

After receiving nominations from the general membership, the Board shall appoint Chairpersons to the following committees: Field Maintenance, Program Director, Ticket Taker, Publicity and Membership, Concession Manager, and Merchandise Manager. Each appointee shall thereby become a member of the Board of Directors and shall serve for the full school year. Appointed Board members shall have the same voting rights as elected Board members.

ARTICLE VII. DUTIES OF OFFICERS

PRESIDENT
Shall head the Board and shall preside at the general and Board of Directors meetings. Upon election, be a member ex-officio of all committees except for the nominating committee, shall have full power to fill, by appointment, any vacancies in the Board as they might occur. Such appointments will be approved by the remaining members of the Board. The President or his designee shall be in contact with the Athletic Director, and shall act as liaison between them and the Board when the Athletic Director is unable to attend meetings.

VICE PRESIDENT
Shall perform the duties of the President in his or her absence and shall succeed him or her in case of a resignation. He or she shall be the chairperson of the membership committee; shall recommend, after investigation, to the Board and the general membership all proposed fund raising events. Upon approval of such events, the President may delegate any member to draft plans and execute such projects.

SECRETARY
Shall keep a written record of the proceedings of all General meetings and Board meetings. In the event that he or she is unable to be present at any given meeting, he or she shall see to it there is a member present to perform said duties. The Secretary shall keep on file all communications received and copies of all minutes and letters sent, i.e., Thank You letters, letters in response or letters by any Board Officer, for a period of not less than four (4) years. The Secretary shall send a copy of the minutes to the Saints Booster Club Board. A copy of the monthly minutes shall also be made available to the general membership.

TREASURER
Shall maintain a current record of all monies collected and all expenditures made through the efforts of the Saints Booster Club. The Treasurer of the Saints Booster Club shall maintain a close working relationship with the Operations Director of SLHS to monitor the funds in the Saints Booster Club accounts. The Treasurer shall provide a monthly statement to the SLHS Operations Director showing all transactions in the Booster Club accounts. This statement shall be compiled prior to the monthly general meeting and will be presented by the Treasurer at the meeting or any other time requested by the Booster Club Board. The Treasurer or his designee shall be responsible for the collection of all authorized expenditure requisitions and the payment of these requisitions with the approval of the Booster Club Board. The Treasurer will maintain a separate checking account to collect and disperse funds to pay the on-going expenses of the Saints Booster Club. The Treasurer will also maintain any other accounts the Board authorizes as prudent to Saints Booster Club business. Any questions involving financial reporting may be presented for resolution to the Principal, the Operations Director and/or the SLHS Board of Directors by the President of the Saints Booster Club.

ARTICLE VIII. ELECTION OF OFFICERS

The Board officers of this organization shall be elected annually by a majority vote of the paid up members present and voting at the election meeting. Nominations for officers shall be made by a nominating committee of four persons consisting of the President, Vice President and two other persons designated by the President or designee. This committee shall endeavor to include in its nominees representatives from ALL grades, 9th through 12th, as well as from all sports seasons, including both the boys and girls sports programs. The nominating committee shall provide a list of candidates to the members one month prior to the election meeting. NO CANDIDATE SHALL BE VOTED UPON WITHOUT HIS OR HER CONSENT TO CANDIDACY HAVING BEEN FIRST OBTAINED. Election of the officers shall be indoctrinated by the outgoing board. All officers shall serve a term of thirteen months, from July 1 through July31st of the following year New officers, however, shall sit in on the board meetings as non-voting members for the first month of their term. REMOVAL OF AN OFFICER CAN ONLY BE MADE BY THE SAME PROCEDURE AS AMENDED BYLAWS, ARTICLE XII.

ARTICLE IX. GENERAL MEETINGS

The Saints Booster Club shall designate the dates and locations of the monthly meetings which shall be open to any of the general membership. The Board may designate other special meeting dates as needed. Duly notified members present shall constitute a quorum at any general meeting. The Board shall determine the agenda for all general meetings.

ARTICLE X. BOARD OF DIRECTORS

The Board of Directors shall consist of the officers of the Saints Booster Club Board and the chairpersons of the committees. The Board of Directors shall transact necessary business between the general meetings and such other business as may be referred to it by the general membership. It shall authorize the payment of bills. It shall present a report at the general meetings. It is subject to the orders of the majority of the organization after a motion has been duly made and seconded. The Board of Directors shall meet once a month, the same time, date and place if possible, to be fixed by the Board of Directors. Special meetings may be called by the President or by a majority of the members of the Board of Directors upon notification directed to every member of the Board of Directors. Two-thirds of the members of the Board shall constitute a voting quorum.

ARTICLE XI. FUNDRAISING AND DISBURSEMENT OF FUNDS

The Saints Booster Club Board shall decide at regular meetings, upon the recommendation of the Vice President, The following: 1) Those fund raising activities to which members and students will devote their time and energies. 2) Expenditures requested by the Athletic Director of $500 or less may be dispersed with consent of the Board President. Requested expenditures exceeding $500 shall be approved by the Board and purchased with the funds so raised. 3) In the event that the funds designated for certain items are not spent, said funds will remain in the organization’s account. Requests shall be approved or disapproved by a voting quorum of the Board members before any expenditure of said sums will be made.

ARTICLE XII. AMENDMENTS

These Bylaws can be amended only in the following manner: Any member may, at any regular meeting, introduce an amendment, which must be seconded, and read at two regular meetings and voted on at the second regular meeting. It must be carried by a two-thirds majority of the membership present.

ARTICLE XIII. RULES OF ORDER

“ROBERTS RULES OF ORDER REVISED” shall govern this organization in all cases in which they are applicable and not inconsistent with these By-laws.

ARTICLE XIV. POLICIES

The personnel policies and practices of Seattle Lutheran High School and Athletic Department shall not be the concern of this organization.
